COFFEE DIGITAL offers a range of marketing services, including but not limited to advertising, branding, content creation, social media management, and website design and development. The specifics of each service offered will be agreed upon in a separate agreement between COFFEE DIGITAL and the client.
2. COFFEE DIGITAL is a marketing agency that provides various marketing services to its clients. These terms of service (the “Terms”) set forth the terms and conditions under which COFFEE DIGITAL agrees to provide its services to its clients. By accessing or using COFFEE DIGITAL's services, you acknowledge that you have read, understand, and agree to be bound by these Terms.

Fees and Payment
The fees for COFFEE DIGITAL’s services will be agreed upon in a separate agreement between COFFEE DIGITAL and the client. COFFEE DIGITAL reserves the right to modify its fees at any time, but will provide notice to the client before such changes become effective.

Intellectual Property Rights
COFFEE DIGITAL retains all rights, titles, and interests in its intellectual property, including but not limited to its trade secrets, trademarks, copyrighted materials, and website content. The client agrees not to use COFFEE DIGITAL’s intellectual property for any purpose other than in connection with the services provided by COFFEE DIGITAL.

Confidentiality
COFFEE DIGITAL agrees to maintain the confidentiality of the client’s confidential information, as defined in a separate agreement between COFFEE DIGITAL and the client.

Representations and Warranties
COFFEE DIGITAL represents and warrants that it will perform its services in a professional and competent manner and in accordance with generally accepted industry standards. The client represents and warrants that he/she/they have the right to enter into this agreement and to use COFFEE DIGITAL’s services.

Limitation of Liability
COFFEE DIGITAL is only liable for the service that the client paid for. In no event will COFFEE DIGITAL be liable to the client for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits or data, arising out of or in connection with this agreement.

Termination
Either party may terminate this agreement at any time upon written notice to the other party. Upon termination, COFFEE DIGITAL will cease all services, demand the clearance of any due payment and then return all confidential information to the client.

Governing Law and Jurisdiction
This agreement will be governed by and construed in accordance with the laws of the jurisdiction in which COFFEE DIGITAL is located, without giving effect to any principles of conflicts of law. Any dispute arising out of or related to this agreement will be subject to the exclusive jurisdiction of the courts located in such jurisdiction.
10. Assignment
This agreement may not be assigned by the client without the prior written consent of COFFEE DIGITAL. COFFEE DIGITAL may assign this agreement to any affiliated company or to any successor in interest.
11. Waiver
The failure of either party to enforce any provision of this agreement will not be deemed a waiver of such provision or of the right to enforce such provision.
12. Client Responsibilities
Clients are responsible for providing all necessary information, including access to social media accounts, website login information, and other relevant information. Clients are also responsible for providing clear and accurate instructions for the services they require.
13. Payment Terms
Clients will be billed monthly for services provided by COFFEE DIGITAL. The payment due date will be outlined in the client’s contract. COFFEE DIGITAL reserves the right to terminate services if payment is not received on the due date. All payments for services rendered by COFFEE DIGITAL are due in accordance with the payment terms agreed upon between COFFEE DIGITAL and its clients. If no payment terms have been agreed upon, payment is due within thirty (30) days of the date of the invoice.
14. Disclaimer
COFFEE DIGITAL does not guarantee any specific results from its services. The success of a marketing campaign depends on a variety of factors, including but not limited to the quality of the website, the quality of the content, and the competition in the industry.
15. Entire Agreement:
These Terms constitute the entire agreement between COFFEE DIGITAL and its clients and supersede all prior negotiations, understandings, and agreements between the parties, whether written or oral.
By accessing or using COFFEE DIGITAL's services, you acknowledge that you have read, understand, and agree to be bound by these Terms.
